What is the Franchise Law and why does compliance matter?
A Saudi law issued by Royal Decree (M/22), 1441H, with its Implementing Regulations. It governs the franchisor–franchisee relationship and requires disclosure and registration. Non-compliance can expose the agreement and the commercial relationship to regulatory risk.
What is the disclosure document and when is it delivered?
A document disclosing the key rights, obligations and material risks of the franchise opportunity. It must be given to the franchisee at least 14 days before signing the agreement or making any payment, in Arabic or via a certified translation.
What is the registration window at the Ministry of Commerce?
The signed franchise agreement and the disclosure document must be registered with the Ministry within 90 days of signing; any amendment must also be registered within 90 days of being made.
